Fees & Retainer
Client agrees to the terms and pricing of the selected video retainer package, as outlined in the attached proposal or invoice (“Selected Package”). A non-refundable monthly retainer is due at the beginning of each billing cycle. Services included in the Selected Package will not begin until the first monthly payment is received. The first month’s retainer is due upon signing this Agreement. Recurring monthly payments will be invoiced or auto-billed on the same date each month thereafter, unless otherwise agreed in writing. Any additional services or overages outside the scope of the Selected Package will be invoiced separately and must be paid in full prior to the delivery of any related deliverables. If the Client requests services beyond what is included in the Selected Package—such as extra shoot hours, additional edits, or new deliverables—those services must be approved in writing and will be billed at the standard hourly or project rate as determined by the Producer.
Coverage
The producer will provide video production services at the dates, times, and locations agreed upon with the Client. Coverage begins upon the Producer’s arrival on site and ends once the agreed-upon service hours for that day have elapsed. The producer will supply the necessary crew and equipment to fulfill the scope of work. Substitutions of equal or greater quality may be made at the Producer’s discretion.
Cancellation or Rescheduling
We understand that plans can change and aim to remain flexible while respecting the time and preparation that each project requires. If the Agreement is ended early after services have started, 30 days’ notice is requested. Any completed work and outstanding payments will still be due. We’re open to reasonable solutions such as pausing or adjusting the retainer if needed. Remaining balances may be waived at the Producer’s discretion. Shoot dates can be rescheduled with reasonable notice, based on availability. Force Majeure: In the case of unforeseen events outside either party’s control (e.g. illness, severe weather, or government restrictions), both parties will be released from immediate obligations. Prepaid fees remain non-refundable but may be applied to a rescheduled shoot within the contract term.
Delivery of Video, Editing, and Audio
The producer will deliver the agreed-upon monthly deliverables as specified in the selected package. Draft versions of each video or batch of videos will be delivered within a reasonable timeframe after the relevant shoot or receipt of footage, provided all payments due to date have been received. The Client is entitled to two rounds of reasonable revisions per deliverable if requested within 7 days of delivery. Additional revisions beyond these rounds may incur additional fees and will be billed at the Producer’s standard hourly or project rate. Final master files will be delivered digitally within a reasonable timeframe after the Client’s approval of the final versions and receipt of all outstanding payments.
Artistic Style
Client acknowledges that the Producer’s work is subjective and agrees to allow the Producer creative discretion consistent with its portfolio and industry standards, while ensuring alignment with the Client’s branding.
Model Release
Client warrants it has obtained—or will obtain—valid appearance and location releases from all persons or property owners featured. Client indemnifies Producer from any claims arising from failure to secure such releases. Client grants Producer the right to display portions of the finished work for Producer’s promotional use (website, social media, demo reels), unless Client provides written notice opting out before post‑production begins.
Video Archiving
The producer will retain project files and raw footage for 365 days after final delivery. After that period, the Producer may delete or archive materials at its sole discretion. Long-term storage can be arranged for an additional fee per month if requested in writing before the 365-day period expires.
Copyright
The Producer retains all copyrights in the footage and edits created. Upon full payment, Producer grants Client a perpetual, non-exclusive, worldwide license to use the final edited video(s) for marketing, web, and internal purposes. Raw footage is not included unless separately licensed. Rights for music, stock footage, or graphics obtained by Producer are limited to the specific usage terms of their respective licenses.
Cancellation of Services by Videographer
In the event the Producer determines, in its sole discretion, that it cannot or will not perform its obligations under this Agreement due to circumstances including, but not limited to, injury, illness, death of a family member, pregnancy, military orders, religious obligations, or other personal emergencies, it will: First, immediately give notice to Clients; Second, attempt to find another competent professional to take its place with the mutual agreement of Clients.
Maximum Damages
The sole remedy for any actions or claims by Clients shall be limited to a refund, the maximum amount not to exceed the total monies paid by Clients under this Agreement.
Limitation of Liability
If, during the production event and/or before the videos are delivered to Clients, the event media has been lost or is unusable because of defect, damage, equipment malfunction, processing, or other technical errors or forces beyond the control of the Producer, Clients agree to hold the Producer harmless and will not impose any additional liability. Liability for a partial loss of videos shall be prorated based on the percentage of total. Clients understand and agree that while the Producer will make reasonable efforts to offer a re-shoot or additional coverage to remedy such loss or defects, availability and scheduling of any re-shoot will be subject to Producer’s discretion and mutual agreement of both parties. The scope and timing of a re-shoot will be determined in good faith to reasonably address the issue. In no event shall the Producer be liable under this Agreement to Clients or any other third party for consequential, indirect, incidental, special, exemplary, punitive, or enhanced damages, arising out of, relating to, or in connection with any breach of this Agreement, regardless of (a) whether such damages were foreseeable, (b) whether or not Client was advised of such damages, and (c) the legal or equitable theory (contract, tort, or otherwise) upon which the claim is based.
Entire Agreement
This is a binding Agreement that incorporates the entire understanding of the Parties, supersedes any other written or oral agreements between the Parties, and any modifications must be in writing, signed by all Parties, and physically attached to the original agreement.
